By accessing or using the services provided by AuditLink, Inc. ("AuditLink," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
Description of Services
AuditLink provides an audit-first compliance execution platform that enables organizations to manage, execute, and maintain compliance across external audits, internal audits, and custom assurance programs. Our services include control mapping, evidence collection, audit execution, and compliance monitoring capabilities.
Account Registration
To access certain features of our services, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to use our services in any way that violates applicable laws or regulations; to impersonate any person or entity; to interfere with or disrupt the services or servers; to attempt to gain unauthorized access to any systems or networks; or to transmit any viruses, malware, or other harmful code.

The services and all content, features, and functionality thereof are owned by AuditLink and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.
User Content
You retain ownership of any content you submit or upload to our services ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process such content solely to provide the services to you. You represent and warrant that you have all rights necessary to grant this license.
Confidentiality
We treat your compliance data and User Content as confidential information. We will not disclose your confidential information to third parties except as necessary to provide the services, as required by law, or with your consent. We implement appropriate technical and organizational measures to protect your confidential information.
Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the services will be uninterrupted, error-free, or secure. We do not warrant that our services will meet your specific compliance or audit requirements.
Limitation of Liability
To the maximum extent permitted by law, AuditLink shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the services. Our total liability shall not exceed the amounts paid by you for the services in the twelve months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless AuditLink and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the services, your violation of these Terms, or your violation of any rights of another.
Termination
We may terminate or suspend your access to the services at any time, with or without cause, with or without notice. Upon termination, your right to use the services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the services after any changes constitutes your acceptance of the new Terms.
